1. The agreement

These terms are an agreement between Appssemble SRL, Blvd. 21 Decembrie 1989, 95-97, Cluj-Napoca, Romania (“grovs”, “we”), and the company or person using grovs (“Customer”, “you”). If you accept them for a company, you confirm you're allowed to bind it.

The agreement is made of these terms, any order form we both sign, our Data Processing Agreement and our Service Level Agreement where your plan includes it. If they conflict, the order form comes first, then the DPA on data protection, then these terms.

2. The services

  • grovs Cloud: we run grovs for you. We may improve it over time, and won't remove a core feature you pay for during your current term.
  • Self-hosted Enterprise: we licence you to run grovs on your own infrastructure for the deployments in your order form, during its term. You operate it; we provide releases, documentation and support.
  • Community: the open-source core is licensed under the MIT licence, not these terms.
  • Beta features are marked as such, provided as they are, and may change or end at any time.

3. Your account

  • Keep your sign-in details secure and tell us at once if you think someone has misused your account.
  • You're responsible for what happens in your account, and for the people you invite to it.
  • Your contact details must be accurate, so we can reach you about the service, security and billing.

4. Acceptable use

You agree not to use grovs to:

  • send spam, or messages people haven't agreed to receive where the law requires consent;
  • break the law, or the rules of Apple, Google or other platforms you send through;
  • distribute malware, phishing links or misleading redirects;
  • collect data you have no right to collect, or track people across other companies' apps and websites;
  • test, attack or overload our systems, or get around usage limits, except under a security research agreement with us;
  • copy, resell or reverse-engineer grovs Cloud or the Enterprise image, except as the law allows.

If your use puts the service or others at risk, we may suspend the affected part straight away. Otherwise we'll tell you first and give you time to fix it.

5. Your data

  • The data you and your users put into grovs is yours. We use it only to provide and support the services, as set out in the DPA.
  • You're responsible for having the right to collect it, including telling your users and getting consent where the law requires.
  • You may export your data at any time while your account is active, and for 30 days after it ends. After that, we delete it as described in the DPA.
  • We may use aggregated, anonymous statistics about how grovs is used, such as feature usage, to improve it. These never identify you or your users.

6. Fees and payment

  • Fees are as shown on our pricing page when you subscribe, or in your order form. Plans are billed in advance, monthly or yearly.
  • Invoices are due within 30 days, unless your order form says otherwise. Card payments are charged at the start of each period.
  • Fees don't include VAT or other taxes, which are added where they apply.
  • If an invoice is more than 14 days overdue, we'll remind you, and may suspend the service 14 days after that reminder. We restore it as soon as you pay.
  • Questions about an invoice must be raised within 60 days of it.
  • We may change our prices at the end of your term, with at least 30 days' notice.

7. Term and ending the agreement

  • Monthly plans renew each month, and yearly plans and order forms each year, unless either of us gives notice before the renewal date (30 days for yearly plans and order forms).
  • You can cancel a monthly plan at any time, effective from the next billing period.
  • Either of us may end the agreement if the other materially breaches it and doesn't fix the breach within 30 days of written notice.
  • If we end the agreement because of our breach, or close a service you paid for, we refund prepaid fees for the unused period.
  • When it ends, your access stops, the export window in section 5 applies, and sections 5, 8 to 12 continue.

8. Confidentiality

Each of us keeps the other's non-public information confidential, uses it only for this agreement, and shares it only with people who need it and are bound to keep it confidential. This doesn't cover information that is public, already known, independently developed, or that the law requires us to disclose.

9. Intellectual property

We own grovs and everything we build for it, apart from the open-source parts, which follow their own licences. You own your apps, content and data. If you send us feedback, we may use it without owing you anything.

10. Warranties

We will provide the services with reasonable skill and care, and they will work materially as described in our documentation. If they don't, tell us; we'll fix it, and if we can't within a reasonable time, you may end the affected service and get back prepaid fees for it.

Beyond that, and as far as the law allows, the services are provided without other warranties, including that they will be uninterrupted or error-free. Uptime commitments are in the SLA.

11. Liability

  • Neither of us is liable for indirect or consequential loss, or for lost profits, revenue or goodwill.
  • Each party's total liability under the agreement is limited to the fees paid or payable by you in the 12 months before the event.
  • These limits don't apply to your payment obligations, a breach of confidentiality, the indemnities in section 12, or liability that can't be limited by law, such as for fraud, gross negligence or wilful misconduct.

12. Claims from others

  • We defend you against third-party claims that grovs infringes their intellectual property, and pay what a court awards or we agree to settle. We may instead change grovs so it doesn't infringe, or end the affected service and refund prepaid fees.
  • You defend us against third-party claims arising from your data, your apps or messages, or your breach of section 4.
  • The party being defended must tell the other promptly, let it control the defence and help reasonably.

13. General

  • Romanian law governs this agreement, and the courts of Cluj-Napoca have jurisdiction, unless your order form sets another law and court.
  • Neither of us is liable for delays caused by events outside reasonable control.
  • Either of us may transfer the agreement to a company that takes over its business, with notice. Otherwise, transfers need the other's consent.
  • We may name you as a customer only with your written permission.
  • Notices to us go to [email protected]; notices to you go to your account owner's email.
  • If part of the agreement is invalid, the rest still applies. Not enforcing a right isn't giving it up. This agreement is the whole agreement between us on its subject.

14. Changes to these terms

We may update these terms. For material changes we email account owners at least 30 days before they take effect. Changes don't apply to a signed order form until it renews.
